Terms of Use

§ 1 Scope and provider
These Terms of Use govern use of the SaaS application “SteelX” (steelx.app), offered by IP Strategy UG (haftungsbeschränkt), Niederrheinstraße 46f, 41472 Neuss, Germany (“provider”, “we”).
They apply to self-registrations via the website. Customers created by us or by a tenant administrator may be subject to separately agreed terms. Conflicting terms of the user are rejected.
A “consumer” is any natural person concluding the contract for purposes outside their trade or profession (§ 13 BGB); an “entrepreneur” acts in the exercise of a commercial or self-employed activity (§ 14 BGB).
§ 2 Subject matter and service
SteelX is a tool for photo-assisted stocktaking of steel tubes/profiles: users photograph bundles, the app counts the pieces and optionally reads the label to reconcile and document the count against stock.
The automated count and label recognition are supporting proposals and are reviewed and released by the user. They do not replace the user's own care; the user is responsible for the correctness of the physical inventory.
We continuously develop SteelX and may change, add to or discontinue features, provided the core benefit is preserved.
§ 3 Registration and account
Use requires an account. Registration is possible via email/password or via Google or Apple. Information must be truthful and current.
Credentials must be kept confidential. Only one concurrent active session is permitted per account; on a further sign-in the previous session is ended. Sharing credentials with third parties is not permitted.
On the “Team/Company” plan, the owner may add further users and is responsible for their permissions and compliance with these Terms.
§ 4 Plans, prices and payment
The plans and prices stated on the website at the time of order apply:
- Individual: €10 per month or €99 per year.
- Company (Team): €10 per month (owner) plus €5 per month per additional user.
Prices are exclusive of statutory VAT where applicable. Billing and payment are handled by our payment provider Stripe; by ordering you authorise the recurring charge to your chosen payment method for the respective billing period.
Monthly plans are billed at the start of each month, annual plans at the start of each year, in each case in advance. We announce price changes at least 30 days before they take effect; they apply from the next billing period.
§ 5 Free trial
Self-registered accounts can try SteelX free for 7 days (without providing payment details), limited to a maximum of 10 counts per 24 hours. After the trial, continued use requires a paid plan; there is no automatic paid renewal without your active order.
§ 6 Term and cancellation
The paid contract runs monthly or annually depending on the chosen plan and renews automatically for the respective period unless cancelled by the end of the current period. Cancellation is possible at any time, effective at period end, via your account.
The right to extraordinary termination for good cause remains unaffected. After the contract ends, your data is deleted in accordance with the privacy policy.
§ 7 Right of withdrawal for consumers
Consumers have a statutory right of withdrawal. You may withdraw from the contract within 14 days of conclusion without giving reasons. A clear statement (e.g. by email to info@siyaya-digital.com) suffices.
Note for digital services: if you expressly agree that we begin performance before the withdrawal period expires and confirm your awareness of losing the right of withdrawal, the right lapses when performance begins (§ 356(4) BGB). No costs arise during a free trial.
On effective withdrawal we refund payments already received without undue delay. A detailed withdrawal notice and the model withdrawal form are available on request.
§ 8 User obligations
The user undertakes not to misuse SteelX, in particular not to upload unlawful content, not to infringe third-party rights, and not to impair the security or availability of the service (e.g. by automated bulk access).
The user does not upload third-party personal data that is not required for the stocktake.
§ 9 Availability
We strive for high availability but do not owe any specific availability. Maintenance, force majeure and disruptions outside our control (e.g. at upstream providers) may temporarily restrict use.
§ 10 Rights to content
Your uploaded photos and captured data remain your content. You grant us the simple right, limited to performing the contract, to store and process this content to provide the service (including label text recognition, see the privacy policy).
All rights in the SteelX software, trademarks and content remain with the provider or its licensors.
§ 11 Liability
We are liable without limitation for intent and gross negligence, under the Product Liability Act, and for injury to life, body or health.
For slight negligence we are liable only for breach of a material contractual duty (cardinal duty) and limited in amount to the foreseeable damage typical for the contract. Any further liability is excluded.
SteelX is an aid; responsibility for the correctness of the inventory count and any decisions derived from it remains with the user. For data loss we are liable only to the extent the damage would also have occurred with proper, regular data backups by the user.
§ 12 Changes to these Terms
We may change these Terms with effect for the future where required for good reason (e.g. legal changes, new features). We will notify changes at least 30 days before they take effect in text form. If you do not object by the effective date, the changes are deemed accepted; we will point this out separately. If you object, either side may terminate as of the effective date.
§ 13 Final provisions
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods; for consumers, mandatory protective provisions of their country of residence remain unaffected. If the user is an entrepreneur, a legal entity under public law or a special public-law fund, the place of jurisdiction is the provider's seat (Neuss).
Should individual provisions be invalid, the validity of the remaining provisions is unaffected. The German version of these Terms prevails.
